Franchise Agreement Summary
Key terms of the VSmart Solar Care Franchise Partnership. Full agreement signed upon onboarding.
1. Franchise Grant
VSmart Solar Care grants the Franchise Partner a non-exclusive, revocable license to operate a solar panel cleaning service business under the VSmart Solar Care brand within the designated Territory, subject to the terms of this Agreement.
2. Territory
Exclusivity: The designated Territory (city/district) is granted exclusively within the VSmart franchise system for the duration of the agreement. No other franchise partner will be assigned to serve the same Territory.
Boundaries: Territory boundaries are defined by city/district administrative limits as agreed in Schedule A of the full agreement.
Cross-Territory: Franchise partners may not actively solicit customers outside their designated Territory. Platform leads from outside the Territory will not be assigned to the partner.
3. Commission Structure
Service Commission: VSmart charges 3ā5% of the gross service value as a platform fee. The exact rate is fixed at signing and may be revised annually with 30 days' notice.
Product Sales: No commission is charged on products purchased by the franchise partner from VSmart's product catalog.
Payment Schedule: Commission is deducted from the monthly payout. Net payouts are processed within 7 business days of month-end.
4. Brand Usage
Permitted: Use of VSmart Solar Care name, logo, and brand materials in the designated Territory for service promotion.
Restricted: Franchise partners may not modify the VSmart logo, create unauthorized brand materials, or use the brand for any purpose other than the agreed service operations.
Marketing: All marketing materials must use approved VSmart templates. Custom materials require written approval from VSmart.
5. Quality Standards
Franchise partners agree to:
- Follow VSmart cleaning protocols learned during training
ā¢ Use approved cleaning equipment and solutions only
ā¢ Maintain a minimum customer rating of 4.0/5.0
ā¢ Respond to platform leads within 2 hours
ā¢ Complete jobs on the scheduled date and time unless rescheduled with customer consent
ā¢ Conduct pre-service panel inspection and photo documentation
6. Platform Usage
Franchise partners receive access to the VSmart SaaS dashboard for lead management, job tracking, invoice generation, and earnings reports. The platform is provided as-is. Partners' login credentials must not be shared with any third party.
7. Term & Renewal
Initial agreement term: 12 months. Renewal: Automatic for subsequent 12-month periods unless terminated by either party with 30 days' written notice.
8. Termination
VSmart may terminate the agreement immediately in case of:
- Repeated customer complaints or ratings below 3.5/5.0
ā¢ Non-payment of outstanding commissions
ā¢ Brand misuse or unauthorized activities
ā¢ Operating a competing service in the same category during the agreement period
The franchise partner may terminate with 30 days' written notice. No fee refunds are applicable on termination.
9. Confidentiality
Franchise partners agree to keep confidential all business information, customer data, platform technology, pricing strategies, and operational processes shared by VSmart Solar Care during and after the franchise relationship.
10. Dispute Resolution
Any disputes will first be attempted to be resolved through mutual discussion. Unresolved disputes will be subject to arbitration in Bikaner, Rajasthan, under the Arbitration and Conciliation Act 1996. The governing law is the law of India.
